Buying a solar tax credit does not buy the project

A transferred credit transaction under Section 6418 is a purchase of an eligible tax credit. The seller generally remains the project owner. A direct owner or partnership investor instead acquires an economic interest with operating, financing and tax-allocation consequences.

Ask which transaction the proposal actually describes before signing. The phrase solar tax credit investment is not enough to determine what appears on your return.

What the credit buyer needs to verify

Confirm eligible seller and credit, required registration, permitted cash consideration, transfer election documents and the tax year the buyer can claim the credit. A registration number is part of the process, not an IRS endorsement of the project or credit amount.

The buyer must evaluate general business credit capacity and any passive activity credit restrictions. Individuals and certain other taxpayers cannot assume that purchased credits freely offset wage or portfolio income. A projected discount to credit face value does not prove the benefit is usable.

What the equipment owner needs to verify

Ownership requires supporting eligible asset costs, the correct credit rate, construction and placed-in-service dates, basis adjustment and depreciation treatment. Partnership investors must review allocations and investor-level limitations. An ownership interest brings operating and exit risks that a credit-only comparison does not measure.

For solar construction beginning after 2024, review the changed depreciation classification in the Form 4562 instructions. Avoid using an old five-year template without checking the actual property class.

Allocate recapture and excessive-credit risk in the contract

Review credit amount substantiation, seller representations, indemnities, insurance exclusions, financial ability to pay and required notifications. The tax rules determine liability; contractual indemnification does not erase an IRS obligation if a counterparty cannot reimburse you.

Distinguish credit recapture from a deduction adjustment. Have tax and legal advisers examine who bears each risk, which documents must be retained and what happens if project eligibility or credit amount is challenged.

Bring a transaction-specific review packet

  • Credit type, amount, tax year and exact legal parties.
  • Registration and draft transfer election statement.
  • Underlying eligible-cost, construction and rate support.
  • Buyer tax-capacity calculation with passive-credit analysis.
  • Purchase agreement, indemnity, insurance terms and contingency model.

Compare after-tax outcomes on the same timeline

For a credit-only purchase, model purchase cash, credit timing, usable tax capacity and risk-related costs. For ownership, add operating revenue, expenses, financing, depreciation, distributions and disposition. Do not present a credit discount and a leveraged project return as equivalent yields.

An advisory review should identify open facts before funding and give the return preparer a usable implementation file. It should not start with a guaranteed amount of tax eliminated.

Discuss the tax facts before committing capital

AE Tax Advisors can review the proposed tax treatment alongside your entities, income and existing returns. Request a written advisory scope covering eligibility, limitations, implementation assignments and filing responsibilities. A preliminary tax model is not an investment recommendation or a guarantee of returns.

Frequently Asked Questions

Can I buy a solar credit and deduct the equipment cost?

A credit purchase alone does not transfer ownership or depreciation rights. Any separate asset investment needs its own tax analysis.
