Partnership & Multi-Member LLC Tax Preparation

Connect entity books, partner transactions and the K-1 package. Define your partnership preparation scope before the next filing deadline.

Prepare the partnership return and the partner handoff together

A multi-member LLC or partnership return connects entity activity to the owners through Schedule K-1. AE scopes preparation around the books, ownership terms, contributions, distributions and available tax history, with defined responsibilities for partner-level information.

This service fits rental partnerships, jointly owned operating businesses and multi-member LLCs taxed as partnerships. Federal classification must be confirmed first: an LLC’s legal name does not by itself identify its income tax return.

What the preparation scope can address

Form 1065 and schedules

Reconcile entity books and tax adjustments, assets and liabilities, and prepare the agreed federal return, schedules and partner K-1 package.

Partner capital and transactions

Review tax-basis capital, contributions, distributions, guaranteed payments and partner loans. Distinguish capital reporting from each partner’s outside basis.

Allocation and ownership history

Review the operating agreement, allocation terms, ownership changes and prior elections. Special allocations, contributed property and transfers can require additional technical review.

State and owner coordination

Map business locations, property states and partner residency. Define state returns, nonresident withholding, composite filings and pass-through elections within the engagement.

Records to organize for Form 1065

  • Prior Forms 1065 and K-1s, depreciation schedules, tax-basis capital rollforwards and election history.
  • Operating agreement, amendments, ownership percentages and dates of any interest transfers.
  • Reconciled year-end financials, general ledger, loan balances and partner transaction detail.
  • Contributed-property records, distribution records, guaranteed payments and debt agreements.
  • Partner names and current addresses through secure intake, state activity and property closing statements.

Partner capital is not the same as outside basis, and neither is simply the cash a partner originally invested. Liability allocations, interest purchases and other events can change the analysis. Agree who maintains owner-level basis and limitation schedules.

Example: a rental LLC refinances and distributes cash

Illustrative preparation scenario. A two-owner rental LLC refinances a property and distributes part of the proceeds. The preparer reconciles the new loan and distribution records, reviews the liability information and coordinates the partner handoff.

The distribution should not be classified solely by looking at cash in the LLC’s bank account. A partner’s potential gain and loss limitations require owner-level facts. A sale of an interest, property contribution or special allocation may call for a separate review.

What to confirm before you engage

Preparation and planning

Return preparation reports the year’s activity. A separate planning assignment can evaluate next year’s decisions. Identify each deliverable and the person responsible for implementation.

Fees and timing

The quote depends on entities, properties, states, record quality and prior-year issues. Bookkeeping cleanup, amendments, studies, payroll corrections and additional returns must be expressly included or separately priced.

Review published advisory pricing for context. A planning fee is not automatically a quote for return preparation. Agree on the tax year, forms, filing jurisdictions, review process and document cutoff before relying on a delivery date. An extension generally extends filing time, not payment time.

Partnership preparation questions

Does a multi-member LLC always file Form 1065?

Many domestic multi-member LLCs are taxed as partnerships by default, but elections and exceptions can change the treatment. Confirm classification and ownership facts before choosing the return.

Are partner personal returns included?

Only if expressly included. Define when the entity K-1s will be available and who receives and reports them on the owners’ federal and state returns.

Can you correct a prior partnership return?

First determine the partnership’s applicable audit regime and correction procedure. An amended return or administrative adjustment request may be required; correction work is separately scoped.

What if we cannot locate the operating agreement or capital schedules?

Flag this before preparation begins. Missing ownership and opening-balance records can prevent a reliable filing. Reconstruction and coordination with legal counsel may be needed.
